Unacademy Set to be Acquired by upGrad in Landmark Deal

Unacademy, once a top player in India’s edtech sector, is poised to be acquired by its competitor upGrad in an all-stock transaction. This move will bring together two major online learning platforms in the country, signaling a significant consolidation in the industry.

According to a recent announcement by Unacademy co-founder and CEO Gaurav Munjal, the companies have signed a term sheet for the acquisition, which will be a 100% share-swap deal. While the exact valuation of the deal has not been disclosed yet, this development comes after Unacademy’s valuation took a hit, dropping below $500 million from its peak of $3.5 billion during the pandemic.

The edtech sector in India has faced challenges post-pandemic, with a decline in demand for online learning as students returned to physical classrooms. Companies like Unacademy have had to adapt by cutting costs, focusing on digital products, and reevaluating their business strategies.

Despite the challenges, upGrad co-founder Ronnie Screwvala expressed confidence in the acquisition, highlighting the complementary strengths of both companies. Munjal is expected to continue leading Unacademy post-acquisition, with the combined entity enhancing upGrad’s offerings in K-12 education, upskilling, and lifelong learning.

Unacademy, founded in 2015, made a name for itself as a leading edtech platform during the pandemic, attracting millions of students to its online learning services. The company has since restructured its operations, consolidated offline centers, and focused on its core digital products to stay competitive in the evolving market.

With over $100 million in cash reserves and recent employee stock buybacks, Unacademy is positioning itself for growth and innovation in the education technology space. The company has raised significant funding from investors like SoftBank, Tiger Global, and General Atlantic, solidifying its position in the industry.

The edtech landscape in India has seen a shift in recent years, with major players like Byju’s facing challenges while others like Physics Wallah have found success and profitability. This acquisition of Unacademy by upGrad marks a pivotal moment in the industry’s evolution.

Looking ahead, Munjal’s focus on Airlearn, an AI-driven language-learning app, shows a commitment to innovation and expansion beyond traditional edtech offerings. Despite some investor concerns, Munjal believes that AI technology can revolutionize education and drive the next wave of growth in the sector.
