Italy’s Mediobanca Launches €6.3bn Offer for Banca Generali

Italy’s Mediobanca made a significant move on Monday by launching a €6.3 billion offer to acquire domestic rival Banca Generali, marking a strategic expansion into the wealth management sector amidst a wave of consolidation in the country’s banking industry.

Mediobanca announced that it plans to finance the acquisition by divesting its shares in Assicurazioni Generali, Italy’s largest insurer and the controlling entity of Banca Generali. As the largest shareholder in Assicurazioni Generali, Mediobanca aims to leverage this transaction to strengthen its position in the market.

In a statement, Mediobanca expressed confidence that the merger with Banca Generali will create a European market leader in the wealth management sector.

The offer presented by Mediobanca represents an 11.4 per cent premium over Banca Generali’s closing share price on Friday, valuing the company at €5.7 billion.

Shareholders of Mediobanca are set to vote on the proposed acquisition at a meeting scheduled for June 16.
