In a significant update to their partnership agreement, Microsoft and OpenAI have decided to remove the exclusivity rights that previously restricted the distribution of AI models developed by ChatGPT, a product of OpenAI. This change now allows OpenAI to collaborate with other cloud and enterprise providers, including industry giant Amazon.

Under the new terms of the agreement, Microsoft remains OpenAI’s primary cloud partner. This means that Microsoft will continue to deploy OpenAI’s products on its Azure service before any other provider, unless technical limitations prevent this. However, OpenAI now has the freedom to offer its AI products to clients using any cloud service of their choice.

While Microsoft still holds a non-exclusive license to OpenAI’s intellectual property until 2032, the financial dynamics of the partnership have shifted. Microsoft will no longer make revenue share payments to OpenAI. Instead, OpenAI will continue to pay Microsoft a designated share of revenue at the existing percentage until 2030, subject to a defined cap.

The recent amendment also eliminates a clause from the previous agreement that would have allowed OpenAI to cease payments to Microsoft in the event of achieving artificial general intelligence. These changes provide OpenAI with more flexibility in accessing computing resources and pursuing enterprise partnerships, potentially enhancing its competitiveness in the AI market leading up to potential public offerings.

Despite these alterations, Microsoft retains its position as a major shareholder in OpenAI and secures continued, albeit capped, revenue from the company’s growth. The revised agreement opens up opportunities for broader industry partnerships while maintaining the core aspects of collaboration between the two companies.

In a related development, OpenAI recently completed a financing round, raising an impressive $122 billion in committed funding and achieving a post-money valuation of $852 billion. This funding round exceeded its initial $110 billion target and was co-led by SoftBank, with participation from key players such as Amazon, Nvidia, Microsoft, and other notable investors.

For the first time, OpenAI included individual investors through banking partners, securing approximately $3 billion from this group. The revised partnership between Microsoft and OpenAI signifies a strategic shift in their relationship, paving the way for increased collaboration and innovation in the AI space.
