Pier Silvio Berlusconi, the son of the late Italian Prime Minister and media mogul Silvio Berlusconi, leads MFE. The company has been steadily increasing its stake in ProSieben, with the goal of creating a pan-European advertising-funded network. In 2021, MFE underwent a transformation when Mediaset, a company owned by the Berlusconis, relocated its legal headquarters to the Netherlands, restructured its shareholding, and rebranded as MediaForEurope.
ProSieben is a major player in the European TV landscape, operating free-to-air and pay-TV channels in Germany, Austria, and Switzerland. Pier Silvio Berlusconi emphasized the need for a strong shareholder to support ProSieben’s growth trajectory, stating, “It is time to switch gear.” He envisions MFE as a key player in the creation of a cross-national pan-European media group that can compete with digital giants and drive growth in the industry.
MFE’s takeover offer for ProSieben is set at the average price of ProSieben shares over the past three months, meeting the minimum price level required by German takeover law. The offer is expected to be around €5.7 ($6) per share, with ProSieben’s stock price rising after news of the impending bid. MFE has already secured a binding agreement with a current shareholder, ensuring that it will hold over 30% of ProSieben’s share capital once the offer is finalized.
