RTL Group to Acquire Sky Deutschland in a Mega Media Deal

German media giant RTL Group has announced an agreement to purchase Comcast-owned pay-TV platform Sky Deutschland. This strategic move brings together two major media brands in the region, creating a combined business with approximately 11.5 million paying subscribers.

The collaboration will merge “Sky’s premium sports rights – including Bundesliga, DFB-Pokal, Premier League, and Formula 1 – with RTL’s leading entertainment and news brands across RTL+, free-to-air, and pay TV.” Additionally, the deal unites the fastest-growing streaming services in the German market, RTL+ and Wow, according to a joint statement released by the companies.

Under the agreement, RTL will make an upfront payment of €150 million ($176 million) to Comcast, with a variable component of up to €377 million euros that can be triggered based on RTL’s share price exceeding €41. Comcast retains the right to activate this part of the deal within the next five years.

The transaction, which has received approval from RTL Group’s board of directors, is contingent on regulatory approvals. Both companies will operate independently until the necessary regulatory clearances are secured, expected by 2026, as stated in the announcement.

Sky Deutschland currently serves customers in Germany, Austria, and Switzerland.

Thomas Rabe, CEO of RTL Group, expressed his enthusiasm about the merger, stating, “The combination of RTL and Sky is transformational for RTL Group. It will bring together two of the most powerful entertainment and sports brands in Europe, creating a unique video offering across free TV, pay TV, and streaming platforms.”

Rabe also acknowledged the exceptional performance of the Sky Deutschland team, emphasizing their role in setting the stage for this new phase of growth.

In an interview with Reuters, Rabe confirmed that RTL does not have plans for further consolidation in the German market, ruling out a potential merger with ProSiebenSat.1, a key player in the industry.

Group CEO at Sky, Dana Strong, commented on the deal, saying, “Sky Deutschland has achieved remarkable progress in recent years, demonstrating strong operational performance and reaching a record number of customers.” She added, “This agreement with RTL leverages our brand strength and opens up new opportunities for growth, ensuring Sky’s continued success in the evolving media landscape.”
