Radiopharmaceutical company Curium has recently announced its acquisition of peer Lantheus Holdings in a deal valued at up to $8 billion. This move comes as Curium, backed by private equity firm CapVest Partners, aims to expand its presence in the rapidly growing radiopharmaceutical sector.

Radiopharmaceuticals, which utilize radioactive compounds to diagnose and treat diseases like cancer, have become a focal point in healthcare dealmaking. The agreement between Curium and Lantheus includes Lantheus shareholders receiving $102.50 per share in cash upon the deal’s closure, with the potential to earn an additional $12 per share if certain sales targets are achieved by 2030. This total consideration of up to $114.50 represents a premium of approximately 14.9% over Lantheus stock’s most recent closing price of $99.64.

While Lantheus shares saw a modest increase following the announcement, some analysts have expressed mixed opinions on the deal. B. Riley Securities analyst Yuan Zhi noted that the upfront offer of $102.50 per share was fair but not overly generous, potentially falling below investor expectations. Additionally, Jones Trading analyst Justin Walsh highlighted the likelihood of the deal facing significant regulatory scrutiny due to both companies being key players in diagnostic radiopharmaceuticals.

In recent years, several notable acquisitions have taken place within the radiopharmaceutical industry. Bristol Myers Squibb purchased RayzeBio for around $4.1 billion, AstraZeneca acquired Fusion Pharmaceuticals for up to $2.4 billion, and Eli Lilly acquired Point Biopharma for approximately $1.4 billion.

Lantheus specializes in manufacturing diagnostic imaging agents used for detecting cancer and other diseases. Its flagship product, Pylarify, is a prostate cancer imaging agent utilized in PET scans that help physicians identify disease indicators through radioactive tracers. On the other hand, Curium focuses on developing and supplying radiopharmaceuticals for diagnostic and treatment purposes.

The acquisition deal between Curium and Lantheus will be financed through a combination of debt and equity and is anticipated to close in the first half of 2027. With the integration of Lantheus’ expertise in diagnostic imaging agents and Curium’s established presence in radiopharmaceutical development, the combined entity is poised to make significant strides in advancing healthcare solutions.
