A Federal Bankruptcy Court in New Jersey has given the green light for the sale of pharmacy assets from over 800 Rite Aid stores to CVS Health, Walgreens, and grocery store chains such as Kroger and Albertsons. This strategic move was confirmed by Rite Aid on May 21, 2025.

The pharmacy assets that are up for grabs include 64 physical Rite Aid stores located in Idaho, Oregon, and Washington, which will be transitioned to CVS. Additionally, CVS also secured a bid for the prescription files of 625 Rite Aid pharmacies across 15 states. On the other hand, Walgreens and grocery giants Albertsons, Kroger, and Giant Eagle will be acquiring the remaining pharmacy assets approved by the court, primarily consisting of prescription files.

The U.S. Bankruptcy Court for the District of New Jersey oversaw the approval of these sale transactions. While the sales are pending regulatory approvals and other customary closing conditions, CVS has stated that more details will be revealed as the transaction closing dates draw near.

As of now, the sale prices for Rite Aid’s pharmacy assets remain undisclosed. This development marks a significant chapter for Rite Aid, as the chain recently filed for Chapter 11 bankruptcy protection for the second time in less than two years. By opting to purchase the prescription files instead of physical stores, CVS, Walgreens, and other buyers can steer clear of taking on additional debt.

It is common practice for pharmacy chains, retailers, and grocers in the pharmacy sector to pursue prescription files and related assets during Chapter 11 bankruptcy proceedings. This trend was evident in 2019 when Walgreens, CVS, and Rite Aid participated in an auction for prescription files and assets from 120 Shopko locations during the retailer’s financial restructuring.

In Rite Aid’s case, the chain has found buyers for customer files at 810 of its stores but has yet to secure buyers for the files at 200 other locations, as reported by Reuters. Currently, Rite Aid’s website lists over 1,200 stores across 15 states, showcasing the extensive reach of the chain.

This strategic sale of pharmacy assets signifies a pivotal moment for Rite Aid and the buyers involved, paving the way for a streamlined and efficient transition in the pharmacy landscape. Stay tuned for more updates as these transactions progress towards completion.
